๐Ÿ“œ Terms of Service

The rules of the layer.

Effective October 20, 2026. These terms govern use of the Paymnts platform. They're written to be read โ€” questions go to contact@paymnts.ai.

1. Agreement and parties

These Terms of Service are an agreement between you and the operator of the Paymnts platform ("Paymnts," "we," "us"). If you accept on behalf of a company or other entity, you represent that you have authority to bind it, and "you" means that entity. You must be able to form a binding contract and be at least 18 years old to use the service.

A signed order form or service agreement between you and us controls where it conflicts with these terms. Written beta, pilot, or design-partner agreements control for the scope they cover.

2. What Paymnts is โ€” and is not

Paymnts is independent assurance software for agent-initiated payments: mandate verification, behavioral risk scoring, sanctions screening, release controls, and compliance evidence. The platform produces decisions and evidence; your sponsor bank executes transactions between your own accounts.

Paymnts is not a bank, money transmitter, payment processor, custodian, wallet provider, or payment-rail participant. We never hold, receive, route, or control funds, and we never take custody of any account. Customer funds move only between accounts at your sponsor bank.

3. License and restrictions

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes during the term. You may not:

You represent that neither you nor your agents acting through the service are parties on any government sanctions or denied-party list.

4. Accounts and API access

5. Sandbox and production

The public sandbox is an evaluation environment: real infrastructure, demo data, no uptime SLA, and data may be reset without notice. Production use โ€” including availability, support, fees, and service levels โ€” is governed by your order form or service agreement, which controls where it conflicts with these terms.

6. Acceptable use

7. Your data

You own the data you submit: mandates, agent records, transaction evidence, configurations, and exports. You grant us the right to process that data to provide, secure, and support the service. We may create and use de-identified or aggregated data that cannot identify you or any individual โ€” to operate, secure, and improve the service โ€” and we retain no other rights over your data. We never sell your data.

8. Third-party services

The service interoperates with systems we don't control: your sponsor bank's APIs, sanctions and watchlist data published by public authorities, and provider endpoints you configure. Those systems are governed by their own terms. We don't warrant their availability, the completeness or freshness of third-party screening data, or the behavior of your sponsor bank โ€” and your banking relationships, licenses, and regulatory registrations remain your responsibility.

9. Decisions are yours

Verdicts, scores, and screening results are decision-support inputs. You configure the thresholds, controls, and release policies; you decide what proceeds. Regulatory obligations โ€” including BSA/AML program requirements and sanctions compliance โ€” remain with you and your regulated counterparties.

10. Evidence and retention

Decisions, overrides, and lifecycle events are recorded in an audit trail retained per your plan (up to seven years). Where configured, ledger anchors are exported to write-once object storage.

11. Fees

Sandbox access is free. Production fees, invoicing, and payment terms are set out in your order form or service agreement.

12. Confidentiality

Each party protects the other's non-public information โ€” including credentials, security architecture, and commercial terms โ€” with the care it uses for its own, and uses it only to perform under these terms.

13. Intellectual property

The platform, documentation, and site are ours. Your data, mandates, configurations, and evidence exports are yours. Feedback you send may be used to improve the service without obligation.

14. Disclaimers

The service is provided "as is" for sandbox use. We do not warrant that any verdict is correct for your risk posture, that a transaction should or should not proceed, that screening data is complete or error-free, or that use of the platform satisfies any regulatory requirement. Nothing here is legal, compliance, or investment advice.

15. Indemnification

You will defend and indemnify us against claims arising from your data, your misuse of the service, your instructions to us, or your violation of these terms โ€” to the extent the claim isn't caused by our breach. We will defend and indemnify you against claims that the service as provided infringes a third party's intellectual-property rights, except to the extent the claim arises from your data, your configurations, or combinations we didn't provide.

16. Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages โ€” including lost profits or losses arising from transactions your sponsor bank executes or declines. Our aggregate liability is capped at the fees you paid us in the twelve months preceding the claim โ€” zero for sandbox use.

17. Suspension and termination

We may suspend access for abuse, security risk, or unlawful use. You may stop using the service at any time; export your evidence first โ€” audit records are retained as required by your plan and by law even after account closure. On termination, your right to access ends; data return and deletion follow your service agreement.

18. Disputes and law

Before filing a claim, the parties will try to resolve disputes informally โ€” escalate to contact@paymnts.ai and allow thirty days for a good-faith resolution attempt. These terms are governed by the laws of the State of Delaware, without regard to conflicts rules; disputes go to the state or federal courts sitting in Delaware unless your service agreement says otherwise.

19. Miscellaneous

Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these terms without our consent, except to an affiliate or in connection with a merger or sale; we may assign to an affiliate or acquirer. If a provision is unenforceable, the rest stand; a failure to enforce isn't a waiver. These terms plus your service agreement are the entire agreement. Notices go to contact@paymnts.ai.

20. Changes

We may update these terms with notice on this page; material changes get a revised effective date. Continued use after the effective date is acceptance.
